The Service Terms and Conditions (“Agreement”) apply to Anura Technology, Inc. (“Anura”), whose principal office is located at 215 Lane Gate Rd., Cold Spring, NY 10516 and Anura’s clients (“Client”).
 

1. Scope of Work

Anura is responsible for performing necessary work ordered by Client related to the development, maintenance and hosting of websites and the installation and support of local and wide area networks.

2. Term and Termination

The term of this Agreement shall commence as of the date of this Agreement and shall continue for one (1) year thereafter unless canceled in writing by either Anura or Client. This contract can be canceled by either party with or without cause at any time during the term of the contract with thirty (30) days written notice. In the event of such termination, Client agrees to pay Anura for all expenses incurred by Anura on behalf of Client, including the purchase of hardware, software and services rendered up to the date of termination. Anura agrees to provide Client with a complete accounting of costs incurred at the time of termination. 

3. Confidentiality

Anura acknowledges that in the course of providing our services to Client, Anura may be exposed to confidential and proprietary subject matter of Client. Accordingly, Anura agrees to maintain in confidence and not use for business advantage any information with respect to Client and its operations obtained directly in connection with the performance of services under this Agreement, unless such information is or has subsequently become available for the public domain and general public knowledge. This includes any inventions, improvements, and developments that are made by Client, and any data, documents, databases, notes, letters, spreadsheets, reports and internal and/or restricted websites that are compiled and written by Client.

4. Compensation

a)      As full compensation to Anura for services rendered Client shall pay Anura at a rate of $100.00 per hour for all time spent on design, installation and support related to websites, personal computers, servers, firewalls, routers, switches, cabling, operating systems, software and any other related networking equipment or website components. Up to 1 hour of travel time starting from Cold Spring, NY will be free of charge. Any other travel will be billable at a rate of $55.00 per hour. All time spent onsite is billable with a two hour minimum. All time to research, duplicate, test or respond to questions or configuration issues via e-mail or telephone is billable. 

b)      Invoices shall be submitted to Client for services rendered and agreed upon by both Anura and Client. Payment of invoices for services will be due within 30 days from the invoice date. The invoice date should coincide with the date on which the invoice was submitted to Client via electronic mail. Payment of invoices for hardware and software products will be due when Client receives the product at its facility, regardless of whether it is delivered by Anura in person or drop shipped. 

c)       Client shall reimburse Anura for reasonable travel and related expenses such as hotel and transportation expenses provided that Client approves the necessary travel work assignment in advance.

d)      Anura will be available for scheduled work during regular business hours of Monday through Friday 8 AM to 5 PM, excluding holidays. Unless mutually agreed upon and scheduled in advance, Anura will make a best effort to provide services and support outside of regular business hours. Off-hour support is defined to be any time outside the hours of Monday through Friday 8 AM to 5 PM, including holidays. There will be no surcharge for scheduled off-hour support. Non-scheduled off-hour support is subject to a $30.00 per hour surcharge.

e)      In the event any portion of the invoice submitted by Anura shall be found to be in question, Client shall contact Anura immediately after receipt of invoice.

5. Modifications

None of the provisions of this agreement may be waived, changed or altered except by an instrument in writing signed by both parties.

6. Limitation of Liability

No action arising out of the performance of services under this contract may be brought by either party more than twelve (12) months after the rendering of such services. In no way will Anura be liable to Client for consequential, incidental, special or indirect damages, loss of profits, or loss of benefits in association with this agreement or the work outlined herein. Anura shall not be liable for loss of business information, and the like, arising out of the use of or inability to use the system even if Anura has been advised of the possibility of such damages.

Any notice required or permitted to be given by one party to the other pursuant to this Agreement shall be in writing as follows:

a)      This agreement shall not be binding until it has been signed by Anura and an authorized employee of Client.

b)      Anura shall be given full and free access to Client work places, work areas, computer equipment, communications equipment, office equipment, and Client personnel to accomplish any task required under this agreement.
